Commission Contract

The Project: Collector requests a commission contract for an oil painting on stretched canvas created by the artist. The design of the artwork shall be based on sketches by the Artist and shall be agreed upon by Artist and Collector. The artwork shall be delivered no later than two months after signing this agreement and providing all details that need to be provided by collector to Artist. Completion of the Work is to be determined by the Artist, who shall use the Artist’s professional judgment to deviate from the preliminary design as the Artist in good faith believes necessary to create the Work and complete the commission contract. Artist agrees to bear any risk of loss until delivery to Collector.

Right of Refusal: It is the intent of this commission contract that the Artist creates an oil painting for the Collector that the Collector will purchase. However, if, after the work is completed, the collector does not wish to purchase the work, the Collector may refuse the artwork. In that case, the Artist will retain the refused artwork and the nonrefundable deposit, free of any claims or interests of the Collector and the Collector will owe no additional fees to the Artist.

Copyright: Artist reserves the common-law copyright to all works commissioned by Collector that are created by the Artist, including all reproduction rights and the right to claim statutory copyright. Collector may reproduce no artwork without the pior written approval of the Artist.

Payment Amounts: The selling price for the artwork will be confirmed by E-mail to the Collector.

Payment Terms: Upon receipt of Commission Price E-mail, a nonrefundable deposit of 1/3 of the commission price agreed upon is required before work commences. The not to exceed two month time period commences when all data necessary from collector has been received by Artist. Payment in full is due upon receipt of artwork.

Attorney’s Fees: In any proceeding to enforce any part of this contract, The aggrieved party shall be entitled to reasonable attorney’s fees in addition to any available remedy. IN WITNESS WHEREOF the parties hereto have executed this Agreement on the day and year listed.
